Terms for the purchase of partner products through the Altegio marketplace

Version 1 · in force from 01 November 2026

1. What these terms are and who you contract with

1.1. These terms govern the purchase of a Partner Product through the Altegio marketplace. They supplement the terms of service and the licence terms which govern your use of the Altegio platform (the “Platform Terms”) and are to be read together with them. Where these terms conflict with the Platform Terms, these terms prevail in respect of Partner Products.

1.2. A Partner Product is developed by a third party (the “Partner”), whose identity is disclosed on the product page. It is sold to you by the Altegio group company identified on the product page and in the Order (the “Seller”). The Seller holds from the Partner the rights necessary to sell the Partner Product and to grant you the rights described in clause 4.

1.3. The Seller sells the Partner Product in its own name and for its own account. Your contract for the Partner Product is with the Seller, the invoice is issued by the Seller and payment is made to the Seller. You do not conclude a contract of sale with the Partner.

1.4. Separately from the sale, you conclude directly with the Partner the documents described in clause 5, which govern your use of the Partner Product and the Partner’s processing of your data. Altegio is not a party to those documents.

1.5. These terms are addressed to business customers. Partner Products are offered for use in the course of a trade, business, craft or profession and not to consumers. Where mandatory consumer protection law nevertheless applies to you, that law prevails over any conflicting provision of these terms.

2. Definitions

2.1. “Platform Operator” means Altegio Ltd, a company incorporated under the laws of the Republic of Cyprus, registration number HE434056, having its registered office at 28 Oktovriou, 317A, Kanika Business Center Block B, 1st floor, Flat/Office 101, 3105 Limassol, Cyprus, which operates the Platform and the marketplace, issues the Access Key and generates the Acceptance Record. The Platform Operator is not the Seller unless it is identified as such in the Order, and assumes only the obligations expressed in these terms to be its own.

2.2. “Order” means your order for a Partner Product placed through the Platform, which records the Partner Product, the Seller, the price, the term, the billing period and the permissions you approve.

2.3. “Access Key” means the credential issued through the Platform by the Platform Operator, on your instruction given when activating the Partner Product, which enables the Partner to access a defined scope of your data through the Altegio application programming interface.

2.4. “Approved Scope” means the categories of your data and the operations which the Access Key permits, being those requested by the Partner and approved by you when activating the Partner Product.

2.5. “Partner Documents” means the Partner’s terms of use and the data processing agreement between you and the Partner, made available through the Platform under clause 5.

2.6. “Marketplace Framework” means the Marketplace Framework on Roles and Responsibilities published by the Platform Operator, which records the roles of the parties involved in the supply of a Partner Product.

2.7. “Acceptance Record” means the record generated by the Platform on activation, described in clause 5.4.

3. Conclusion of the contract

3.1. The product page, together with these terms, constitutes an offer by the Seller to supply the Partner Product on the terms stated. The contract is concluded when you place the Order and it is confirmed by the Platform.

3.2. The commercial terms of a particular purchase — the Partner Product, the Seller, the price, the term, the billing period and the renewal arrangements — are those recorded in the Order. Where the Order and these terms differ, the Order prevails for that purchase.

3.3. Before placing the Order you are shown the identity of the Partner, the description and functionality of the Partner Product, the applicable service levels, the permissions requested by the Partner and the Partner Documents.

4. What you acquire

4.1. Depending on the Partner Product, the Seller grants you a sublicence to use it, supplies it to you as a subscription, or provides you with access to it as a service. Which of these applies is stated on the product page and in the Order.

4.2. The rights granted are non-exclusive and non-transferable, are limited to the term recorded in the Order, and are granted for use in your own business. You may not resell the Partner Product, make it available to third parties other than your authorised users, or reverse engineer it except to the extent permitted by mandatory law.

4.3. The description of the Partner Product on its product page states the functionality on the basis of which it is sold.

4.4. The Partner Product is developed and maintained by the Partner. Altegio does not modify it and does not warrant that it is suitable for any purpose beyond the functionality described on the product page.

5. Partner Documents and the Marketplace Framework

5.1. Activation of a Partner Product requires you to accept the Partner Documents and the Marketplace Framework. They are presented to you through the Platform in the versions then in force, before activation.

5.2. The Partner has irrevocably offered to conclude the Partner Documents, in the versions so presented, with every customer which accepts them through the Platform, and has authorised the Platform Operator to communicate that offer and to receive acceptance on its behalf. The Partner Documents are concluded between you and the Partner at the moment your acceptance is recorded, without further act by the Partner.

5.3. The Marketplace Framework is concluded at the same moment between you, the Partner, the Seller and the Platform Operator. Each of them assumes only the obligations expressed to be its own.

5.4. On activation the Platform Operator generates an Acceptance Record stating the parties, the Partner Product, the Seller, the identity of the accepting user and confirmation of that user’s authority to act for you, the identifier of the integration and of the branch or location to which access is granted, the versions of the documents accepted, the Approved Scope and the date and time of acceptance. The Platform Operator retains, and makes available to you for download together with that record, the full text of each version of the documents you accepted. Those materials remain available to you for the term of your use of the Partner Product and for seven (7) years thereafter.

5.5. A changed version of the Partner Documents or of the Marketplace Framework applies to you only when you have accepted it through the Platform. Until then the version you accepted continues to apply. Publication of a changed text is not acceptance.

6. Access to your data

6.1. Where a Partner Product requires access to data held in your account, you decide whether to grant that access. On activation you are shown the categories of data and the operations requested by the Partner, and you approve them; you may approve the set as presented or, where the Platform allows, a narrower set.

6.2. The Platform Operator issues the Access Key on your instruction and makes the corresponding data available through the interface within the Approved Scope. Neither the Platform Operator nor the Seller selects the Partner for you, and neither grants access on its own initiative.

6.3. The Partner may access only data within the Approved Scope and only for the purposes agreed with you in the Partner Documents. Any extension of the Approved Scope requires a new approval by you.

6.4. You may revoke the Access Key at any time, with immediate effect, through your account. Revocation may prevent the Partner Product from functioning. Revocation does not of itself entitle you to a refund in respect of the period already elapsed.

6.5. On revocation of the Access Key, or when you otherwise instruct the Partner to cease processing, the Partner is required to cease processing immediately and, at your choice, to return or delete the data obtained through the Access Key within thirty (30) days, unless retention is required by law.

6.6. The Platform Operator may suspend the Access Key where required by clause 9.

7. Price, payment and renewal

7.1. Where you purchase as a consumer and not for the purposes of your trade or profession, you have a statutory right to withdraw from the purchase within fourteen (14) days. Because the Partner Product is supplied as digital content and access begins immediately, you are asked before payment to request that supply begin at once and to acknowledge that you thereby lose that right of withdrawal. If you do not give that request and acknowledgement, supply begins after the fourteen-day period has expired. This clause does not affect your rights under clause 10.

7.2. A Partner Product may be sold for a period of time or as a quantity of units of use, such as minutes, messages or calls. Where it is sold as a quantity of units, every reference in these terms to the unused portion of the period paid for means the units purchased and not yet consumed at the relevant date, and every reference to the end of the paid term means the earlier of the exhaustion of those units and their expiry date. The expiry date of the units, if any, is stated on the product page; where none is stated, the units do not expire. Where the product page provides that units purchased under more than one Order are held as a single balance with a common expiry date, references in these terms to the units purchased under an Order mean the corresponding part of that balance, and units are treated as consumed in the order in which they were purchased.

7.3. The price is that recorded in the Order. Prices are exclusive of value added tax and equivalent turnover taxes, which are added where applicable. The tax treatment of a supply is determined by the place of supply rules and by your status under applicable tax law, and not by the provision of a tax identification number alone. Where under applicable law the recipient is liable to account for the tax, the Seller issues the invoice accordingly and you account for the tax. You shall provide the Seller with the information and evidence it reasonably requires to determine the correct treatment, including a valid value added tax identification number where you have one, and shall notify the Seller without delay of any change. Where that information is not provided or proves incorrect, the Seller may charge the tax applicable in the absence of it and recover from you any tax, interest or penalty arising from the incorrect information.

7.4. Payment is made in advance for each billing period by the method you have registered on the Platform, unless the Order provides otherwise.

7.5. Unless the Order provides otherwise, the Partner Product renews automatically for successive periods equal to the initial term, at the price then in force for that Partner Product, until cancelled. Notice of a price change is given at least thirty (30) days before the renewal to which it applies.

7.6. You may cancel renewal at any time before the end of the current period through your account. Cancellation takes effect at the end of the period paid for; the Partner Product remains available to you until then.

7.7. If payment is not made when due, the Seller may suspend access to the Partner Product after notice, and may terminate if the default continues.

8. What the Seller is responsible for

8.1. The Seller is responsible to you for supplying the Partner Product in accordance with the description given on its product page at the point of sale, for its availability in accordance with the service levels stated there, and for the integration between the Partner Product and the Platform.

8.2. The Seller is responsible for the correctness of the commercial terms recorded in the Order, for holding the rights necessary to sell the Partner Product to you, and for the absence of infringement of third-party rights by reason of that sale.

8.3. The Platform Operator is responsible for the security of the Platform and for the correct operation of the interface within the Approved Scope.

8.4. The Seller provides first-line support for Partner Products. Where an issue requires the Partner, the Seller escalates it and remains your point of contact.

8.5. Neither the Seller nor the Platform Operator is responsible for how you configure or use the Partner Product, for the content you submit through it, for outcomes dependent on your own business decisions, or for the Partner’s use of data lawfully obtained within the Approved Scope, which is governed by the Partner Documents.

9. Suspension, withdrawal and termination

9.1. The Seller may cease offering a Partner Product to new customers at any time. Where a Partner Product is withdrawn during a period you have paid for, the Seller will either continue to supply it until the end of that period, or provide a replacement, or refund the unused portion.

9.2. The Platform Operator may suspend a Partner Product or the Access Key with immediate effect and without prior notice where an incident occurs or a material legal, security or regulatory risk arises, notifying you as soon as reasonably practicable. Where the suspension is for reasons not attributable to you and the Partner Product is not restored within seven (7) days, the Seller shall, at your choice, provide a replacement or refund the unused portion of the period paid for, in accordance with clause 10.3. This waiting period does not restrict your rights under clause 10.1.

9.3. The Seller may terminate the supply of a Partner Product on material breach by you, not remedied within thirty (30) days of notice, or immediately where required by law.

9.4. On termination or expiry, your right to use the Partner Product ends and the Platform Operator revokes the Access Key with effect from that date, without any action being required from you. You may also revoke it earlier under clause 6.4. Clause 6.5 applies to the data held by the Partner from the date of revocation.

10. Refunds

10.1. You are entitled to a refund from the Seller where the Partner Product is unavailable for a period exceeding the service level stated on its product page, or where it does not provide the functionality described at the point of sale. The Seller may first offer to remedy the defect or to provide a replacement; if you do not accept that offer, or if the defect is not remedied within ten (10) working days of your report, the refund is made.

10.2. Refund requests on other grounds are assessed by the Seller following investigation, which may include obtaining information from the Partner. The Seller will inform you of the outcome and of the reasons for it within fourteen (14) days of your request.

10.3. Refunds are made by the Seller to the payment method used for the original payment, unless otherwise agreed. Where a refund relates to part of a period, it is calculated pro rata. Where the Partner Product was sold as a quantity of units, a refund is calculated by reference to the units purchased and not yet consumed at the date of the refund, and not pro rata by time.

10.4. You are also entitled to a refund from the Seller of the unused portion of the period paid for where you object, on reasonable data protection grounds, to a new or replacement sub-processor notified by the Partner under the data processing agreement between you and the Partner, that objection is not resolved within the period stated in that agreement, and you revoke the Access Key and terminate the Partner Product for that reason. No cancellation charge applies in that case.

10.5. Where you have placed and paid for an Order but the Partner Product cannot be activated — whether because the Access Key cannot be issued or because your acceptance of the Partner Documents cannot be recorded — the Platform Operator continues to attempt activation and informs you of its status. If activation has not been completed within five (5) days of your payment, you may cancel the Order and the Seller shall refund the price in full. You may also choose to continue waiting, without prejudice to your right to cancel later. On cancellation your right to use the Partner Product ends, any Access Key issued is revoked, and the Partner returns or deletes any data it has obtained on the terms of the data processing agreement between you and the Partner.

10.6. Where your acceptance of the Partner Documents has been recorded, those documents are concluded and remain in force notwithstanding that activation has not been completed. You are not asked to accept the same versions again, and no further charge arises from a repeated attempt.

10.7. This clause governs your claims against the Seller. It does not affect any claim you may have against the Partner under the Partner Documents.

11. Changes to a Partner Product and to these terms

11.1. The Partner may develop the Partner Product. Changes which materially reduce the functionality described at the point of sale are notified to you at least thirty (30) days in advance. If such a change materially disadvantages you, you may terminate the Partner Product and receive a refund of the unused portion of the period paid for.

11.2. The Platform Operator may amend these terms. An amendment is notified to you at least thirty (30) days before the date stated in the notice and applies to you only once you have accepted it. Until you accept it, the version you previously accepted continues to apply. Publication of an amended text is not acceptance.

11.3. Clause 11.4 applies only where the amended version was notified to you at least thirty (30) days before the renewal date in question. Where it was notified later than that, your Order renews on the version you have already accepted, and clause 11.4 applies instead to the first renewal date falling at least thirty (30) days after the date of the notice.

11.4. If you have not accepted an amended version by the end of your current paid term, the Order does not renew, no further charge is made, and your right to use the Partner Product ends at the end of that term. You are reminded at least fourteen (14) days and again at least three (3) days before that date. You may accept the amended version at any time before then, in which case the Order renews normally. An Order is not renewed on a version you have not accepted, except as provided in clause 11.3.

11.5. The same rules apply to an amended version of the Marketplace Framework on Roles and Responsibilities and to an amended version of the Partner Documents.

12. Personal data

12.1. In respect of the data you hold in your account, including data relating to your own clients and personnel, you act as controller and the Platform Operator acts as processor, on the terms of the data processing agreement applicable to your use of the Platform.

12.2. In respect of data obtained by the Partner through the Access Key, the Partner acts as a separate processor engaged by you, on the terms of the data processing agreement concluded between you and the Partner under clause 5. The Partner is not a sub-processor of the Platform Operator or of the Seller.

12.3. The Platform Operator and the Seller each act as a controller in respect of the registration, contact, billing, authentication, technical and security data which each processes in connection with the sale and activation of a Partner Product, as described in the applicable privacy notice.

12.4. You remain responsible for the lawfulness of your collection of the data held in your account, for having a legal basis for making it available to the Partner and for informing the individuals concerned. Your approval of the Approved Scope is a contractual instruction and does not of itself constitute a legal basis for processing under data protection law.

12.5. The categories of data available through the interface, the countries in which the Partner processes them and the Partner’s sub-processors are stated on the product page and in the Partner Documents.

13. Intellectual property

13.1. All rights in a Partner Product remain with the Partner or its licensors. You receive only the rights expressly granted under clause 4.

13.2. All rights in the Platform remain with the Platform Operator and its licensors.

14. Liability

14.1. Neither the Seller nor the Platform Operator is liable to you for loss of profit, revenue, goodwill or anticipated savings, or for indirect or consequential loss.

14.2. The aggregate liability of the Seller and of the Platform Operator in respect of a Partner Product is limited to the amounts you paid for that Partner Product in the twelve (12) months preceding the event giving rise to the claim.

14.3. Nothing in these terms excludes or limits liability which cannot be excluded or limited by applicable law.

15. General

15.1. These terms, the Order, the Marketplace Framework and the Platform Terms constitute the entire agreement between you, the Seller and the Platform Operator in respect of the Partner Product. The Partner Documents govern your relationship with the Partner and do not vary these terms.

15.1.1. In the event of conflict, the following order applies: the Order prevails in respect of the commercial terms of that purchase; the Marketplace Framework prevails in respect of the allocation of roles and responsibilities between you, the Partner, the Seller and the Platform Operator; these terms prevail over the Platform Terms in respect of Partner Products; and the Platform Terms govern all other aspects of your use of the Platform.

15.2. Notices to you are given through the Platform or to the contact address registered in your account.

15.3. You may not assign your rights under these terms without the Seller’s prior written consent.

15.4. These terms are governed by the law stated in the Platform Terms, and disputes are resolved in accordance with them. Where the Seller is a company other than Altegio Ltd, the law and forum stated in the Platform Terms applicable to that Seller apply.

15.5. If any provision is held invalid, the remainder continues in force.

15.6. These terms are published in English. Where a translation into another language is made available, it is provided for information only and the English version governs, except where the mandatory law applicable to you as a consumer provides otherwise. The version number and the date from which a version is in force are the same in every language.
